1. Acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of the FA3i website, publications, member area, datasets, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

2. Eligibility

You must be of legal age to form a binding contract in your jurisdiction to use the Services. By using the Services you represent that you meet this requirement.

3. Content & intellectual property

Unless otherwise stated, all Content provided through the Services — including text, reports, datasets, branding, logos, and design — is owned by FA3i or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Content for your own personal, internal, or research purposes.

You may not reproduce, republish, redistribute, sell, or create derivative works from the Content for commercial purposes without our prior written permission. Fair quotation with clear attribution to FA3i is permitted.

4. Member accounts

Some areas of the Services require sign-in via a third-party single sign-on provider. You are responsible for maintaining the confidentiality of your account and for all activity under it. We may suspend or terminate access at our discretion, including for breach of these Terms.

5. Acceptable use

You agree not to:

• use the Services in any unlawful, fraudulent, or harmful manner;
• attempt to gain unauthorised access to any part of the Services or related systems;
• interfere with or disrupt the integrity or performance of the Services;
• scrape, harvest, or bulk-extract Content except as expressly permitted; or
• misrepresent your affiliation with FA3i.

6. Submissions

If you submit a deal, message, or other material to us (a "Submission"), you represent that you have the right to do so and that the Submission is accurate to the best of your knowledge. You grant FA3i a worldwide, royalty-free licence to use, review, edit, and — where appropriate — publish the Submission as part of the Services. We are under no obligation to publish any Submission and may decline or remove Submissions at our discretion.

7. Disclaimers

The Services and all Content are provided for informational and educational purposes only and on an "as is" and "as available" basis, without warranties of any kind. Nothing in the Services constitutes investment, financial, legal, tax, or other professional advice. Please read our full Research & Investment Disclaimer, which forms part of these Terms.

8. Limitation of liability

To the maximum extent permitted by applicable law, FA3i and its contributors, partners, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profit, capital, data, or goodwill, arising from or in connection with your use of, or inability to use, the Services or Content.

9. Indemnity

You agree to indemnify and hold harmless FA3i and its contributors and affiliates from any claims, damages, liabilities, and expenses arising from your use of the Services, your Submissions, or your breach of these Terms.

10. Third-party links

The Services may contain links to third-party websites and resources that we do not control. We are not responsible for the content or practices of those third parties, and their inclusion does not imply endorsement.

11. Governing law

These Terms are governed by the laws of the jurisdiction in which FA3i is established, without regard to conflict-of-laws principles. The courts of that jurisdiction shall have exclusive jurisdiction over any dispute, except where applicable law grants you the right to bring proceedings elsewhere.

12. Changes

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
